By Using This Website You Confirm That You Have Read, Understand And Agree To Comply With Our Terms Of Use And This Entire Privacy Policy. Together, These Documents Constitute The Entire Agreement Between The Parties In Connection With The Use Of This Website.

These terms of use apply to any and all matters involving the use by User(s) (as defined below in Article 4) of the services (hereinafter, the "Services") on the website www.shphk.org.hk (hereinafter, “the Website”) owned and operated by The Society of Hospital Pharmacists of Hong Kong (hereinafter, "SHPHK").

Article 2 (Amendment and Consent)

SHPHK may amend these terms of use without the Users' prior consent, and the Users, by continuing to use the Services, shall be regarded as having agreed to the amendment. SHPHK will notify the Users of any amendment to these terms of use, at any time and in any manner SHPHK considers proper.

Article 3 (Use of Services)

1. Users agree to use the Services subject to these terms of use, and any and all other conditions set by SHPHK.

2. Users agree to take responsibility for all information they send through the Services, and agree not to cause damage or annoyance to SHPHK.

3. If Users are under eighteen (18) years old, their guardian must approve their use of the Services. Users must be eighteen (18) years old or over, in order to place order on “the website”.

4. SHPHK does not guarantee that the contents of this website will always adjust to the Users' computer or that the website or Services will always operate properly.

5. Website access is at the Users' free will and Users accept responsibility for using this website and the Services.

Article 4 (Users)

Under these terms of use, "User(s)" means a person who uses the Services by either visiting this website, purchasing products though this website or otherwise. When Users use the Services, they are considered to have accepted these terms of use.

Article 5 (Registration of Users)

1. When Users initially use the Services and purchase products on this website, they are, in general, required to register their information.

2. Users agree to enter their accurate information in the registration form and send it to this website. Users are prohibited from submitting false information.

3. Each individual User may only register one (1) time. SHPHK reserves the right to not approve the Users registration if (a) the User has received a stoppage or deletion of their registration as a result of a breach of these terms of use or any other terms of use regarding SHPHK, (b) the contents of the User's registration include false information, or (c) SHPHK otherwise considers the approval of the registration inappropriate.

4. If Users purchase products via their credit card, they are required to only use credit cards issued under their own name.

5. If any of the Users' registered information changes, such as address/name/telephone number or any other registered information, Users must promptly report the change through measures separately specified by SHPHK.

Article 6 (Management of Membership Number and Password)

1. When Users use the Services, they may choose to establish an account with SHPHK and use the membership number and password issued by SHPHK or set up independently by the Users to enjoy the members benefit offered by SHPHK

2. Users are responsible for the safe guarding, use and management of their membership number and password issued by SHPHK or set up independently by the Users

3. Users agree not to transfer, lend or disclose their membership number or password to any third party, or allow any third party to use their membership number or password.

4. Users are responsible for any and all loss or damage caused to the Users by a third party using their membership number or password, and Users agree that SHPHK is not responsible for any loss or damage caused to the Users by a third party using the Users' membership number or password.

5. If Users discover that a third party has abused their membership number or password, they agree to immediately report this to SHPHK.

Article 7 (Termination of Service and Deletion of User Registration)

In any one of the following cases, SHPHK may determine that providing the Services is inappropriate and may stop providing the Services or delete the User's registration without any prior notice to the User.

1. It is discovered that registration of the User was previously subject to deletion due to a breach of the Terms of Use.

2. User falls behind in payment or otherwise defaults on payment due to SHPHK.

3. User engages in any conduct prohibited under Article 8.

4. User violates any of the Terms of Use.

Article 8 (Prohibited Matters)

While using the Services, Users must refrain from engaging in the following acts; if SHPHK determines that any User's act falls under any of the following, it may, among other things, stop providing the Services to or doing transactions with the User, or delete the messages or any other content the User may have sent to this website.

1. Using the Services or any information (including product information), provided on this website, for purposes of making a profit, or non-profit purposes but with the intention to disclose them to third parties, without the prior approval of SHPHK.

2. Registering any false information in their registration.

3. Any act which disturbs the management of the Services or any other act which could disrupt the Services.

4. Abusing a credit card through use of the Services.

5. Abusing their membership number or password.

6. Any act which violates the trademark, copyright, privacy or any other rights of another User, a third party or SHPHK, or any act which could cause annoyance, loss or damages to another User, third party or SHPHK.

7. Any act which may constitute a libel, slander or defamation against another User, any third party or SHPHK

8. Posting false or meaningless information.

9. Any act that is a violation of law or is against public policy; or any act which could be a violation of law or be against public policy.

10. Falsifying information regarding SHPHK or the Services or information provided through the Services.

11. Sending or posting harmful computer programs, viruses, malware, spyware, or anything related to the preceding.

12. Any other act which SHPHK considers inappropriate in managing the Services.

Article 9 (Copyright)

Users must not violate the copyright, trademark or any other intellectual property rights to images or designs on this website, that are owned by SHPHK or any other third party.

Article 10 (Personal Information)

SHPHK, in general, will not use the Users' personal information or any third party's personal information, that Users may have registered with the Services, beyond the extent necessary to attain the purpose specified in advance when such personal information was registered. If SHPHK wishes to use the personal information beyond such extent, it shall obtain the prior approval of the User or third party.

Article 11 (Transfer of Rights and Benefits)

Users may not transfer the rights to receive or use the Services or any member benefits offered by SHPHK, to any other person. SHPHK reserves the rights to change the relevant terms related to members’ benefits and rights without prior notice to the Users.

Article 12 (Purchasing Products)

Users may purchase products through the Services. When Users purchase products, they agree to follow the order procedures as specified by SHPHK as below.

Product Descriptions

SHPHK will endeavor to ensure that the product descriptions including any information, photographs and graphics presented on the Site to be accurate and complete as possible. We however do not warrant that product descriptions are accurate, current and correspond completely to the physical products in which case SHPHK cannot be held responsible.

Pricing

Prices indicated on www.shphk.org.hk website are in Hong Kong Dollars exclusive of tax and are applicable only on the date of order confirmed by the customer. Delivery costs, if applicable, will be indicated before the final confirmation of the order.

Prices indicated on www.shphk.org.hk website are exclusive of import duties and sales tax. Shipment to some countries may subject to import duties and sales tax, any additional costs including but not limited to import duties and sales tax are to be on account of the customer.

Order Confirmation

Every order implies complete acceptance of the description and prices of the products and / or services offered on www.shphk.org.hk website. Confirming the total cost at the payment page represents an irrevocable acceptance of purchase. Once confirming order, the sales contract between customer and the Company is established, and customer must proceed with payment of the selected payment method which then formalizes the sales contract with SHPHK in a firm and final manner which cannot be called into question in accordance to the present terms and conditions under the policy of EXCHANGE & RETURNS. An email will be sent to the customer upon successful transfer of payment confirming the order. All sales contracts are therefore concluded in Hong Kong SAR and are written in English.

Customer can secure payment by credit/debit card via PayPal. The customer guarantees SHPHK that he or she has necessary authorization to use the mode of payment chosen by him or her during confirmation of the purchase order. The supply of credit or debit number and the final validation of the order by the customer constitute a proof of the order and current liability for the sums of the products selected in the order. This validation constitutes signature and acceptance of all the operations carried out on the www.shphk.org.hk website.

SHPHK reserves its rights not to accept an order for any reason at its sole discretion. Such reasons include, but are not limited to, one of the following:

• The product ordered is out of stock, or is withdrawn due to its failure to meet our quality standards or due to the shipping restrictions applicable to one or all of the ordered items.

• A pricing or product description error is identified

• Failure to obtain authorization for payment, or in the case of non-payment

• There exists a dispute of any nature with SHPHK and the Company.

SHPHK will contact you as soon as possible if there are any problems with your order.

Article 13 (Payment)

1. The amount and method of payment for using the Service is subject to the provision described in the application form for the products the User wishes to purchase as well as the Users' guide.

2. If Users make payment via PayPal with their credit cards, they agree to follow all the conditions entered into between the User, PayPal, and the credit card company that issued their credit cards. If any dispute arises between the User, PayPal, and the credit card company, the User agrees that the dispute will be settled by the User, PayPal, and credit card company only, and agrees that SHPHK is not responsible for such dispute.

Article 15 (Information Management)

If necessary, SHPHK may delete information which Users post on the website or change the posting position of the information. SHPHK may delete the Users' content if (a) the content violates these terms of use or (b) SHPHK determines the content may cause problems.

Article 16 (Interruption of Services)

SHPHK may amend, add, stop or cancel the Services without prior notice to Users and without the Users' consent in the following cases. SHPHK is not responsible for any damage caused to the Users by the amendment, addition, stoppage or cancellation of the Services.

1. In cases where periodic or urgent maintenance on the system is necessary.

2. If system management becomes difficult due to accidental fire, power failure, any obstruction by a third party or anything related to the preceding.

3. If the Services are unavailable due to a natural disaster.

4. Any other situation where SHPHK considers the amendment, addition, stoppage or cancellation of the Services necessary.

Article 17 (Exemption Clause)

1. If SHPHK conducts administrative work in accordance with the contents of the Users' registration, SHPHK is not responsible for any damage caused to the Users due to its administration.

2. If SHPHK needs to notify Users, SHPHK is considered to have performed and satisfied its notification duties by sending mail to the registered address or sending an e-mail to the e-mail address registered in advance by the Users. If SHPHK needs to send products to Users at the address they provided, SHPHK is considered to have performed and satisfied its relevant duties by sending the products to the address that the Users indicated when purchasing the products.

3. SHPHK is not responsible to the Users for any damage or lost earnings caused by: (a) events that are not SHPHK's responsibility, (b) special circumstances with or without SHPHK foreseeing such a circumstance, or (c) any third party's damage claim, unless otherwise provided for in these terms of use or Users' guide.

4. If there is a dispute regarding use of the Services between Users or between a User and any third party, the dispute must be settled by the relevant parties only and must not cause any damage or annoyance to SHPHK.

Article 18 (Governing Law, Jurisdiction and Attorney Fees)

1. All terms and conditions shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region. Customers irrevocably agree that the courts of Hong Kong Special Administrative Region shall have exclusive jurisdiction in relation to any claim or dispute concerning or arising from the terms and conditions.

2. If a User owes a debt to SHPHK by failing to pay the purchase price or otherwise violating these terms of use, and SHPHK engages an attorney in order to collect the debt, the User agrees to pay SHPHK for SHPHK's reasonable attorney fees.
